These Terms and Conditions ("Terms") govern your access to and use of the Neary website, waitlist sign-up, and any related services we make available (together, the "Service"). The Service is operated by Neary ("Neary", "we", "us" or "our"). By accessing the Service or submitting your details to our waitlist, you agree to be bound by these Terms. If you do not agree, please do not use the Service.
1. About Neary
Neary is an Australian-built platform that uses artificial intelligence to match candidates with employers and roles that suit their skills, experience and preferences. The Service is currently in a pre-launch phase, and the primary purpose of this website is to provide information about Neary and to collect waitlist sign-ups from candidates and employers who are interested in being notified when the platform becomes available.
2. Eligibility
You must be at least 16 years old and legally able to enter into a contract to use the Service. By using the Service you confirm that any information you provide about yourself or the organisation you represent is true, accurate and current, and that you are authorised to provide it.
3. Waitlist sign-up
Submitting your email address or other details to our waitlist does not create a contract for any paid service and does not guarantee access to Neary when it launches. We may use your details to contact you with product updates, launch announcements and related information about Neary. You can unsubscribe at any time using the link in our emails or by contacting us. How we handle your personal information is described in our Privacy Policy.
4. Acceptable use
You agree not to:
- use the Service in any way that breaches applicable laws or regulations;
- submit information that is false, misleading, defamatory, discriminatory, infringing or that belongs to another person without their permission;
- attempt to gain unauthorised access to the Service, any related systems, or any other user's data;
- interfere with or disrupt the Service, including by introducing viruses, scraping at scale, or overloading our infrastructure; or
- use the Service, or any content within it, to train competing AI or machine-learning models.
5. Intellectual property
All content on the Neary website — including the Neary name and logo, text, graphics, images, blog posts, software and the underlying matching technology — is owned by Neary or its licensors and is protected by Australian and international intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and view the Service for your personal or internal business purposes. You must not copy, reproduce, republish, distribute, or create derivative works from any part of the Service without our prior written consent, other than as expressly permitted by these Terms or applicable law.
6. Your content
If you submit information to us — for example, your name, email address, role preferences, company details or other details through our waitlist or contact forms — you grant Neary a worldwide, royalty-free licence to use that information to operate, improve and provide the Service to you, including to develop and refine our AI matching capability. You retain ownership of the information you provide.
7. AI matching and no guarantees
Neary uses AI to suggest matches between candidates and employers. While we work hard to make our matching accurate and useful, AI outputs may be incomplete, inaccurate or out of date. Neary does not guarantee employment, hiring outcomes, interview opportunities, salary outcomes, or that any particular match will be made. Decisions about hiring, employment and engagement remain solely with the candidate and the employer.
8. Third-party links and services
The Service may contain links to third-party websites or integrate with third-party services. We are not responsible for the content, products, practices or policies of any third party. Your dealings with third parties are solely between you and that third party.
9. Service availability
We aim to keep the Service available, but we do not guarantee that it will be uninterrupted, error-free, secure or free from loss of data. We may modify, suspend or discontinue all or part of the Service at any time without notice.
10. Disclaimers and liability
To the maximum extent permitted by law, the Service is provided on an "as is" and "as available" basis without warranties of any kind, whether express or implied. Nothing in these Terms excludes, restricts or modifies any consumer guarantee, right or remedy under the Australian Consumer Law that cannot lawfully be excluded. To the extent we can limit our liability, our total liability to you for any claim arising out of or in connection with the Service is limited to AUD $100.
11. Indemnity
You agree to indemnify Neary against any loss, damage, cost or expense (including legal costs) we suffer or incur arising from your breach of these Terms or your misuse of the Service.
12. Termination
We may suspend or terminate your access to the Service at any time, including if we reasonably believe you have breached these Terms. You may stop using the Service and request removal from our waitlist at any time by contacting us.
13. Changes to these Terms
We may update these Terms from time to time. The updated version will be posted on this page with a revised "Last updated" date. Your continued use of the Service after changes are posted constitutes your acceptance of the updated Terms.
14. Governing law
These Terms are governed by the laws of New South Wales, Australia. You and Neary submit to the non-exclusive jurisdiction of the courts of New South Wales and the courts competent to hear appeals from them.
